These Terms and Conditions (“Terms”) govern your access to, and use of the website, content, products, and services (collectively, the “Service”) provided by Trusted CLEs, Inc. (“Trusted CLEs,” “we,” “us,” or “our”).

1. Acceptance of Terms

By accessing, registering for, or using the Service in any manner, you, your heirs, assigns, and successors (collectively “you” or “your”) hereby agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. All changes are effective immediately when we post them. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. Account Registration and Security

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You will be assigned a unique username and password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at contact@trustedcles.com of any unauthorized use of your password or account or any other breach of security. Your right to use the Service is not transferable.

Email Communications and Consent

By registering for an account, you expressly consent to receive email communications from Trusted CLEs at the email address you provide during registration or as subsequently updated in your account. These communications may include:

(a) Administrative/Transactional Emails: Essential communications related to your account, course enrollments, payment confirmations, security notices, system updates, and other service-related notifications necessary for the proper functioning of your account and our Service.

(b) Commercial/Promotional Emails: Marketing communications regarding new courses, educational content, events, special offers, newsletters, and other promotional materials about our services and those of our partners.

You may opt out of commercial/promotional emails at any time by clicking the “unsubscribe” link included in such communications or by contacting us directly at contact@trustedcles.com. However, you acknowledge that you will continue to receive administrative/transactional emails as these are essential for account management and service delivery. Your consent to receive these communications is a condition of using the Service.

3. Fees, Payment, and Billing

You agree to pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred, as displayed to you at the time of purchase or as otherwise communicated to you. This includes, but is not limited to, charges for any products or services offered for sale through the Service by us or by any other vendor or service provider. You shall pay all applicable taxes, fees, and other governmental charges relating to the use of the Service through your account, excluding taxes based on Trusted CLEs’ net income. You must provide us with a valid credit card or other payment method acceptable to us. By submitting such payment information, you authorize us to charge all fees and taxes to that payment method.

4. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) (collectively, the “Content”) are owned by Trusted CLEs, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content on our Service, except as follows:

You may download one copy of specifically designated downloadable course materials on a single computer for your personal, non-commercial use only, provided you keep intact all copyright and other proprietary notices.

Copying or storing any Content for other than personal use is expressly prohibited without prior written permission from us or the copyright holder identified in the copyright notice.

You must not:

Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.

Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the Content.

Modify the Content or use it for any other purpose. All trademarks, service marks, and trade names are proprietary to Trusted CLEs.

5. User Conduct and Prohibited Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms.
You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law or regulation.

To upload, distribute, or otherwise publish any material that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law.

In any commercial manner. You shall not, without our express approval, distribute or otherwise publish any material containing any solicitation of funds, promotion, advertising, or solicitation for goods or services. You specifically acknowledge that soliciting other Service guests to join or become members of any commercial online service or other organization is expressly prohibited.

By uploading materials to any forum or submitting any materials to us, you automatically grant (or warrant that the owner of such materials has expressly granted) us a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute such materials or incorporate such materials into any form, medium, or technology now known or later developed throughout the universe.

6. Faculty/Instructor Submissions

If you are a faculty member, instructor, or other contributor submitting course materials, content, or other input (“Input”) to the Service, you hereby grant Trusted CLEs a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such Input and your name, voice, and/or likeness as contained in your Input, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Service and Trusted CLEs’ business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

7. Disclaimers of Warranty

THE CONTENT AND THE SERVICE ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, TRUSTED CLES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TRUSTED CLES DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE CONTENT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TRUSTED CLES DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE CONTENT IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

THE CONTENT PROVIDED THROUGH THE SERVICE IS PREPARED AS A SERVICE TO OUR MEMBERS AND IS NOT INTENDED TO CONSTITUTE LEGAL, ACCOUNTING, TAX, OR FINANCIAL ADVICE FROM A PROFESSIONAL. THE CONTENT IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. WHILE WE USE REASONABLE EFFORTS TO PROVIDE ACCURATE AND UP-TO-DATE INFORMATION, WE DO NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, ADEQUACY, OR CURRENCY OF THE INFORMATION CONTAINED IN OR LINKED TO THE SERVICE. YOUR USE OF INFORMATION ON THE SERVICE OR MATERIALS LINKED FROM THE SERVICE IS AT YOUR OWN RISK. NOTHING PROVIDED THROUGH THE SERVICE IS A SUBSTITUTE FOR THE ADVICE OF COMPETENT COUNSEL.

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL TRUSTED CLES, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE CONTENT OR THE SERVICE, EVEN IF TRUSTED CLES OR A TRUSTED CLES AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRUSTED CLES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Trusted CLEs, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Governing Law and Dispute Resolution

All matters relating to the Service and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of in each case located in the City of [Your City] and County of [Your County].

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
